Advertising and media-content activities are conducted, where applicable, under Social Media Advertiser Permit No. 7525890, which authorizes advertising or media content on social media and other modern technological platforms.

By purchasing a service, accepting a quotation or proposal, booking a consultation, making a payment, or otherwise instructing us to begin work, the client agrees to these Terms of Business together with any specific proposal, quotation, invoice or written agreement applicable to the engagement.

1. Our Services

Nancy Awwad Marketing Management provides marketing management and related professional services. Depending on the service or package selected, these may include marketing and business strategy, consultations, digital-footprint and brand-positioning strategy, social-media strategy and management, content strategy and planning, content creation, advertising strategy and campaign coordination, collaborations, promotional activities and related marketing services.

Services may be purchased individually, as packages, as ongoing engagements or as add-ons.

The exact scope, deliverables, price and duration of each engagement will be defined on our website or in the applicable quotation, proposal, invoice or written agreement.

2. A Collaborative Relationship

A successful engagement depends on an active and cooperative relationship between us and our clients.

We undertake to communicate clearly, perform the agreed services professionally and respect agreed schedules. In return, clients are expected to communicate with us in a timely manner and provide the information, documentation, products, materials, access and approvals necessary for us to perform our work.

Marketing is rarely something that can be created independently of the client. We may need to understand your business, receive products for photography or content creation, obtain brand assets, receive access to accounts or advertising platforms, review documents, obtain factual information, or receive your approval before progressing to the next stage.

Our deadlines therefore depend upon your deadlines.

3. Client Information, Documents, Products & Access

The client is responsible for providing all requested materials within the deadlines communicated by us.

Depending on the engagement, these may include business information, documents, photographs, videos, logos and brand assets, products or samples, advertising information, pricing, website information, social-media or advertising-platform access, passwords or permissions through appropriate secure methods, approvals, feedback and any other materials reasonably necessary to complete the work.

Clients are responsible for ensuring that information supplied to us is accurate and that they have the necessary rights or permissions to provide and use any materials supplied.

4. Client Delays

Our work is scheduled around commitments to multiple clients. Time allocated to one client cannot always simply be moved to another day without affecting work already committed to another client.

If a client fails to provide requested information, documentation, products, access, feedback or approval by an agreed deadline, our corresponding delivery deadline will automatically be extended.

The revised delivery date will depend on our next reasonable availability and may not simply be extended by the same number of days as the client’s delay.

For example, a three-day client delay does not necessarily result in a three-day extension if the originally allocated production period has been reassigned or our subsequent schedule is already committed.

5. Repeated or Significant Delays

Where a client’s delay materially disrupts the agreed schedule, requires work to be rescheduled, causes additional administration or production costs, or affects commitments made to other clients, Nancy Awwad Marketing Management reserves the right to:

  • reschedule the work to the next available production period;
  • charge a reasonable rescheduling, reactivation or additional service fee where additional work or costs have resulted;
  • revise the original delivery timeline;
  • place the project temporarily on hold; or
  • terminate the engagement where the delay makes continued performance impractical.

Any additional fee will be communicated to the client before the affected work resumes.

Where an engagement is terminated because of substantial or repeated client-caused delays, amounts relating to work already performed, time already reserved, commitments made and non-refundable third-party costs may remain payable, subject to applicable law.

6. Approvals & Feedback

Where client approval is required, work will not progress until that approval is received.

Clients should review materials carefully before approving them. Once content, advertising, designs, copy, strategy or other deliverables have been approved and subsequently published, produced or submitted, additional changes may constitute additional work and may be charged separately.

Silence should not be considered approval unless this has been expressly agreed in writing.

7. Scope of Work & Additional Requests

Our fees are based on the agreed scope of work.

Requests outside that scope—including additional meetings, substantial revisions, additional content, new platforms, additional campaigns or work not included in the selected package—may be quoted separately.

We will not knowingly incur material additional charges without informing the client.

8. Consultations & Strategy

Our consultations and strategy services provide professional recommendations based upon the information supplied by the client, our experience and our professional assessment.

Business and marketing decisions ultimately remain the responsibility of the client.

Recommendations may evolve as market conditions, platforms, audiences, technology or the client’s business change.

9. Content Production & External Production Costs

Where a service includes content production, the scope will specify what is included.

Unless expressly included in writing, specialist or third-party production costs are separate.

These may include models, makeup artists, hairstylists, studio or location rental, specialist editing, videography, photography, equipment, production teams and other external services or suppliers.

These services will be quoted separately where required and may require advance payment.

10. Advertising & Media Services

Advertising-related work may include strategy, campaign planning, content, coordination, setup or management as specified in the relevant service.

Advertising expenditure paid to third-party platforms is separate from our professional fees unless expressly stated otherwise.

Where we publish or participate in advertising, sponsored content, gifted collaborations or other commercial arrangements, appropriate disclosures will be made where required.

11. Third-Party Platforms

Our services may involve platforms such as search engines, social-media networks, advertising platforms, website providers and other technology companies.

These platforms operate independently from Nancy Awwad Marketing Management.

We cannot control or guarantee algorithms, account approvals, advertising approvals, platform policies, reach, impressions, engagement, search rankings, account restrictions, technical availability or changes made by third-party platforms.

12. No Guarantee of Results

Marketing can influence business performance, but no responsible marketing provider can guarantee a particular commercial outcome.

Accordingly, we do not guarantee specific numbers of followers, views, impressions, leads, customers, sales, revenue, search rankings, media coverage or other results unless a particular deliverable has expressly been guaranteed in writing.

Our responsibility is to provide the professional services and deliverables agreed with the client.

13. Fees & Payment

Prices are stated in UAE Dirhams (AED) unless expressly indicated otherwise.

Our licence requires clear service information and prices to be provided in UAE currency.

License-1631610.pdf

Payment terms will be specified at checkout or in the applicable quotation, proposal or invoice.

Work may be scheduled only after any required deposit or payment has been received.

Third-party costs may require full advance payment and may be non-refundable once committed to the supplier.

14. Cancellation, Refunds & Exchanges

Because our services involve professional time, scheduling and, in many cases, preparation before the visible deliverable is produced, all purchases are generally considered final once confirmed.

We do not ordinarily provide refunds or exchanges once work has commenced or professional time has been reserved.

Exceptional circumstances, including force majeure or circumstances in which the agreed service can no longer reasonably be provided, may be considered individually. At the owner’s discretion, an appropriate solution may include rescheduling, credit, an alternative arrangement or, where appropriate, a refund.

Any approved refund may take into account work already performed, professional time already used or reserved, commitments already made and non-refundable third-party expenses.

Nothing in these Terms limits rights or remedies that cannot legally be excluded under applicable UAE law.

Our trade licence expressly requires a sales policy addressing matters such as returns and exchanges, which is why this policy is stated clearly rather than relying solely on individual agreements.

15. Intellectual Property

Nancy Awwad Marketing Management retains ownership of its pre-existing methodologies, frameworks, processes, templates, concepts, strategies and proprietary materials.

Unless otherwise agreed, after full payment the client may use final materials specifically created and delivered for that client for their intended business purposes, subject to any third-party intellectual-property or licensing restrictions.

Drafts, rejected concepts, unused materials and preliminary work remain our property unless otherwise agreed in writing.

16. Portfolio & Our Own Marketing

Unless confidentiality has been specifically agreed in writing, we may reference publicly released work, campaigns or collaborations in our website, portfolio, social-media channels and other marketing materials to demonstrate our services and experience.

Confidential information will not knowingly be published without authorization.

17. Confidentiality

We recognize that clients may provide commercially sensitive information while working with us.

Information identified as confidential will be treated reasonably and professionally and will not intentionally be disclosed except as necessary to perform the service, with the client’s authorization, or where disclosure is required by law.

18. In Conversation & Educational Content

Articles, interviews, opinions, educational materials and other editorial content appearing under In Conversation or elsewhere on our website form part of our educational and professional digital content.

They may contain professional opinions, personal experience, observations, discussions, interviews or contributions from third parties.

This content is intended to educate, inform, explore ideas and encourage discussion. It does not constitute individualized legal, financial or other regulated professional advice and does not guarantee a particular business result.

Participation in an interview or feature does not automatically constitute an endorsement unless expressly stated.

19. Force Majeure

Neither Nancy Awwad Marketing Management nor the client will be responsible for a failure or delay caused by circumstances reasonably outside their control.

These may include government action, natural disasters, severe weather, illness or emergency, significant technological interruption, platform outages, supplier failures or comparable circumstances.

Where possible, the parties will work together to reschedule or find a reasonable alternative.

20. Limitation of Liability

To the extent permitted by applicable law, Nancy Awwad Marketing Management will not be responsible for indirect or consequential business losses arising from client decisions, implementation of recommendations, third-party platform decisions, supplier failures or circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Termination

Either party may terminate an ongoing engagement in accordance with any notice requirements contained in the applicable proposal or agreement.

We may suspend or terminate services where there is non-payment, persistent failure to communicate, repeated failure to provide required materials, abusive or inappropriate conduct, unlawful requests, or circumstances making continued professional performance unreasonable.

Termination does not eliminate fees properly due for work already completed, services already provided, reserved time that has become non-recoverable, or authorized third-party expenses, subject to applicable law.

22. Governing Law

These Terms and our business relationship with clients are governed by the applicable laws and regulations of the United Arab Emirates and the Emirate of Dubai.

Any dispute will be subject to the competent authorities and courts having jurisdiction in Dubai, unless applicable law provides otherwise.

I deliberately made Sections 2–5 much stronger than standard website terms. For your type of business, this is important: when a client fails to send a product for a shoot, doesn’t approve content, doesn’t provide access, or disappears for a week, they cannot reasonably expect their original delivery date to remain reserved.

I would also put a shortened version of that rule directly into every quotation/proposal—something like “Client Cooperation & Delays”—so the client sees and accepts it at the point of purchase rather than it existing only in the website Terms.
